El Luchador Audio End User License Agreement (EULA)

Effective Date: Upon Purchase

This End User License Agreement (“Agreement”) is a legal contract between you (“User” or “you”) and El Luchador Audio (“ELA” or “we”), governing the use of all El Luchador Audio products, including but not limited to virtual instruments, sample libraries, loops, one-shot samples, software, and associated materials (“Products”). By downloading, installing, or using any Product, you agree to be bound by this Agreement. If you do not agree, do not install, download, or use the Products.

1. License Grant
El Luchador Audio grants you a personal, non-exclusive, non-transferable, and non-sublicensable license to use the Products solely for the purpose of creating musical works, soundtracks, and audio productions, whether commercial or non-commercial.

You are authorized to use the Products to create music compositions, sound effects, and other audio works for personal, commercial, or non-commercial purposes. You may incorporate the Products into multimedia projects such as film scores, TV productions, video game soundtracks, podcasts, and live performances.

Raw or isolated audio files (e.g., loops, one-shot samples) from the Products may not be shared with collaborators, producers, or any third parties unless they own a valid license for the Product.

You may monetize, resell, or distribute compositions created using the Products as long as they are integrated into a larger work. However, you may not claim ownership of the original audio elements provided by El Luchador Audio.

You may not sell, share, or redistribute the Products or their components in raw or isolated form. The Products may not be used as standalone sound effects in applications such as video games, toys, or hardware devices without prior written consent.

You may not use the Products to create derivative products such as sample libraries, virtual instruments, or sound packs that compete with El Luchador Audio. You are strictly prohibited from creating derivative instruments, sample libraries, or virtual instruments for resale or distribution using the Products.

A single license for the Product grants you the right to use its content in multiple projects. However, individual audio elements must be integrated uniquely in each project and may not be reused identically across separate projects without significant modification.

If you intend to use the Products in large-scale commercial projects (e.g., major film productions, national advertisements, or high-volume distributions), an extended license may be required. Please contact El Luchador Audio to discuss licensing options.

2. Ownership and Intellectual Property
All Products, including loops, one-shot samples, presets, software scripts, branding, and documentation, remain the sole intellectual property of El Luchador Audio. Purchasing a Product grants you a license to use it but does not transfer ownership.

You may not claim ownership of any component of the Products. This includes loops, samples, or software scripts provided by El Luchador Audio.

While you own the intellectual property rights to your original compositions created using the Products, you may not sell or distribute isolated components of the Products as standalone items.

You may create one backup copy of the Products for personal use. This backup is subject to the same restrictions as the original license and may not be transferred, shared, or redistributed.

The El Luchador Audio name, logo, and trademarks may not be used in any manner without prior written consent.

3. Restrictions on Use
Loops, one-shot samples, and presets included in the Products cannot be used in isolation or as standalone sound effects in games, toys, hardware devices, or other similar media.

Redistributing the Products in a format that allows third parties to extract their content is strictly forbidden. This includes, but is not limited to, repackaging loops or samples into new libraries and uploading Products to websites, cloud services, or shared storage accessible to others.

You may not sell, upload, or distribute sounds created with the Products to stock audio marketplaces, sound effect libraries, or similar platforms. However, sounds created with the Products may be used in multimedia contexts, such as film, television, or video games, provided they are part of a larger composition or audiovisual work.

You are responsible for ensuring that the Products you purchase are not shared, uploaded, or distributed in any way that allows unlicensed use. El Luchador Audio reserves the right to revoke licenses and pursue legal action in cases of unauthorized use.

4. Authorization and Installation
Each license allows installation of the Product on up to two systems owned and controlled by you. The license is strictly for individual use and cannot be shared with others.

Users requiring additional activations must contact El Luchador Audio directly. Requests will be evaluated on a case-by-case basis.

For shared environments such as schools or studios, each workstation or user requires a separate license. El Luchador Audio provides tailored licensing solutions for institutions—contact support for details.

5. Privacy and Data Collection
Any personal information collected during registration or use of the Products will be handled in accordance with El Luchador Audio’s Privacy Policy, available at [elluchador.audio/privacy-policy].

El Luchador Audio may collect anonymized usage data to improve product functionality and performance. No personal data will be shared with third parties without your consent.

6. Refund Policy
Due to the nature of downloadable software, all sales are final, and refunds are not typically offered once the Product has been downloaded.

Refunds may be considered in cases of technical issues that cannot be resolved. Refund requests must be submitted within 14 days of purchase and include proof of the issue.

7. AI and Machine Learning Use Restrictions
The Products may not be used for training, developing, or enhancing artificial intelligence (AI) systems or machine learning models without prior written consent from El Luchador Audio.

8. Pricing and Availability
Prices and availability of Products are subject to change without prior notice. El Luchador Audio reserves the right to modify or discontinue any Product at any time.

9. Modifications to the Agreement
El Luchador Audio reserves the right to modify this Agreement at any time. Changes will be effective immediately upon posting the updated Agreement on our website. Continued use of the Products constitutes acceptance of the updated terms.

10. Disclaimer of Warranties
The Products are provided “as is” without any warranties, express or implied. El Luchador Audio does not guarantee that the Products will meet your specific requirements or operate without interruption.

11. Force Majeure
El Luchador Audio is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, government actions, or technical issues.

12. Governing Law and Dispute Resolution
This Agreement is governed by the laws of Canada. Any disputes arising under or related to this Agreement, including contractual or tort claims, must be resolved exclusively in the courts of Squamish, British Columbia, Canada.

13. Assignment and Third-Party Beneficiaries
This Agreement is personal to you and may not be assigned or transferred to any other party. There are no third-party beneficiaries to this Agreement.
